Terms of Service
Last updated: [date]
These Terms govern your use of PRNeuron (the "Service"), provided by [Company legal name], [Registered address] ("we", "us"). By creating an account or installing the PRNeuron GitHub App you agree to these Terms on behalf of yourself and, if applicable, the organisation you represent ("Customer").
1. The Service
PRNeuron reviews pull requests in GitHub repositories you authorise, using large language models, and posts the results to those pull requests. It may also read tickets from an issue tracker you connect, such as Jira, and explain repository history on request.
2. Accounts
- You must provide accurate information and keep your credentials secure. You are responsible for activity under your account.
- An organisation's owners control its members, settings, integrations and data, and may invite or remove members.
- You must be at least 18 years old, or the age of majority where you live, to use the Service.
3. Your content
"Customer Content" means the code, pull requests, tickets, documents and other material the Service accesses on your behalf. You keep all rights in it. You grant us a limited licence to access, process and store Customer Content only as needed to provide, secure and support the Service, as described in our Privacy Policy. We do not use Customer Content to train machine-learning models, and we do not permit our model providers to do so.
You confirm you have the rights and permissions needed for us to process Customer Content, including any personal data it contains.
4. AI output
Reviews, explanations and diagrams are generated by AI and may be incomplete or wrong. They are suggestions to assist human reviewers, not a guarantee that code is correct, secure or fit for purpose. You remain responsible for what you merge and ship. A review approving a change, or finding no security issues, does not mean none exist.
5. Acceptable use
You will not: use the Service to break the law or infringe anyone's rights; attempt to access other customers' data or probe the Service's security except as allowed by our vulnerability reporting policy; interfere with or overload the Service; resell it without our written agreement; or use it to develop a competing product.
6. Plans, fees and taxes
- The Free plan is provided at no charge with the limits shown on our pricing page. Paid plans are billed in advance, monthly or as agreed, in the currency shown at purchase.
- Fees exclude taxes. Where applicable, GST or other taxes are added and shown on your invoice.
- Usage beyond your plan's allowance is not reviewed until the allowance resets or you upgrade; we do not charge overage without your agreement.
- We may change prices with at least [30 days'] notice; changes apply from your next billing period.
- Cancellations and refunds are covered by our Refunds & Cancellation policy.
7. Third-party services
The Service depends on GitHub, your issue tracker and AI model providers. Your use of GitHub and those tools is governed by their own terms. We are not responsible for their availability or actions.
8. Suspension and termination
You may stop using the Service and uninstall the GitHub App at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or if needed to protect the Service or other customers; where reasonable we will notify you first. On termination you may request an export of your data within [30 days], after which we delete it as described in our Privacy Policy.
9. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted operation unless a written agreement says otherwise. We may change or discontinue features; if we make a change that materially reduces a paid plan, we will tell you in advance.
10. Warranty disclaimer
To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability arising out of these Terms is limited to the amount you paid us in the [12 months] before the claim. These limits do not apply to liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify us against claims arising from Customer Content or your breach of these Terms.
13. Changes to these Terms
We may update these Terms. We will post the new version here and, for material changes, notify account owners by email at least [15 days] before they take effect. Continuing to use the Service after that means you accept them.
14. Governing law
These Terms are governed by the laws of India. The courts of [city, state] have exclusive jurisdiction, subject to any mandatory rights you have where you live.
